1. Acceptance of Terms

By accessing or using the B2B.NG platform ("Service"), operated by Bolrach Technologies Limited ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, buyers, suppliers, and any other persons who access or use the Service.

2. Definitions

For the purposes of these Terms:

• "Platform" refers to the B2B.NG website and all related services.
• "Buyer" refers to any user who posts RFQs or seeks products and services.
• "Supplier" refers to any user who lists products, services, or responds to RFQs.
• "RFQ" means a Request for Quotation posted by a Buyer.
• "User" refers to any individual or business entity registered on the Platform.
• "Content" refers to all information, text, images, and data uploaded to the Platform.

3. User Accounts

To access certain features of the Service, you must register for an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials.
• Promptly update your account information to keep it accurate.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or engage in fraudulent activity.

4. Acceptable Use

You agree not to use the Service to:

• Post false, misleading, or fraudulent information.
• List prohibited or illegal goods and services.
• Harass, abuse, or harm other users.
• Interfere with or disrupt the Service or its infrastructure.
• Collect or harvest user data without authorization.
• Circumvent any security or access controls of the Platform.
• Use the Platform for any purpose that violates Nigerian law or applicable international regulations.

We reserve the right to remove any content and suspend any user who violates these guidelines without prior notice.

5. Supplier Obligations

Suppliers are responsible for the accuracy of their product listings, pricing, and business information. Suppliers must hold all necessary licenses and permits required to sell the products or services they list. Suppliers agree to respond to buyer inquiries in a timely and professional manner. Misrepresentation of products, capabilities, or business credentials may result in immediate account termination.

6. Buyer Obligations

Buyers must provide accurate details in their RFQs and engage with suppliers in good faith. Buyers acknowledge that B2B.NG acts as a platform connecting buyers and suppliers and does not guarantee the quality, delivery, or performance of any supplier. Buyers are encouraged to perform their own due diligence before entering into any commercial arrangement.

7. Payments & Subscriptions

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to:

• Pay the applicable fees as described on our Pricing page.
• Provide accurate billing information.
• Authorize us to charge your selected payment method on a recurring basis.

All fees are quoted in Nigerian Naira (NGN) and are non-refundable except where required by law. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

8. Intellectual Property

The Service, including its design, features, logos, and content created by B2B.NG, are the intellectual property of Bolrach Technologies Limited and are protected by Nigerian and international copyright, trademark, and other intellectual property laws. Users retain ownership of content they upload but grant B2B.NG a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content on the Platform for the purpose of providing the Service.

9. Limitation of Liability

To the maximum extent permitted by law, B2B.NG and Bolrach Technologies Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service. B2B.NG acts solely as a platform and is not a party to any transaction between buyers and suppliers. We do not guarantee the accuracy of user-provided information, the quality of products or services, or the completion of any transaction.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify, defend, and hold harmless Bolrach Technologies Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may terminate or suspend your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
